​This Master Childcare & Household Services Agreement (“Agreement”) governs all childcare, household support, travel, event-related, and associated services coordinated by Gabi Childcare.

This Agreement applies to services that may include, without limitation, childcare, newborn and child care, family assistance, household support, meal preparation, organizing, errands, overnight care, travel or vacation care, corporate or special event services, and other approved services. All services are performed exclusively by professionals placed by Gabi Childcare.

 

Submission of an intake form, execution of this Agreement, or payment of any fee does not guarantee placement. Services are subject to professional availability, scheduling requirements, and final approval by Gabi Childcare in its sole discretion. 

 

All service fees are nonrefundable. Hourly rates, minimum hour requirements, and applicable fees will be disclosed and confirmed prior to booking or commencement of services.

The client agrees to pay the confirmed rate for all scheduled services, including applicable minimums. Additional charges may apply for travel time, transportation, additional children, premium or specialized services, schedule changes, or expanded responsibilities, provided such charges are disclosed in advance.

Cancellations or schedule changes made outside the required notice period may result in full or partial charges, as outlined in the service confirmation or booking terms.

The client represents and warrants that all information provided regarding care, household, travel, and event needs is complete and accurate, including allergies, medications, medical, developmental, behavioral, household, safety, and travel-related considerations. Failure to disclose material information may result in immediate termination of services without refund.

All professionals remain employees or independent contractors of Gabi Childcare. Direct hiring, engagement, or employment of any referred professional by the client is prohibited except as expressly permitted under Gabi Childcare’s written placement policies.

 

If a professional becomes unavailable, Gabi Childcare may, but is not obligated to, provide a qualified substitute.

Insurance & Risk Allocation

Gabi Childcare maintains commercially reasonable insurance coverage for its operations, which may include, as applicable: General Liability, Professional Liability, Cyber Liability, Business Auto Liability, Abuse/Molestation Liability, Commercial Umbrella Insurance, Special Event Liability, Participant Accident/Medical coverage for events or programs, Inland Marine/Equipment Coverage, and Commercial Property coverage.

 

Coverage applies only to risks and claims within the scope, limits, terms, and exclusions of the applicable policies. Nothing in this Agreement shall be construed as a guarantee of coverage for any specific incident.

 

Limitation of Responsibility & Force Majeure

To the fullest extent permitted by law, Gabi Childcare shall not be liable for delays, interruptions, cancellations, losses, or changes in services resulting from circumstances beyond its reasonable control, including but not limited to:

• Travel delays, flight changes, or transportation disruptions

• Changes to family travel plans, lodging, or itineraries

• Weather conditions, natural disasters, or acts of God

• Public health emergencies or pandemics

• Government orders, restrictions, or closures

• Acts or omissions of third-party service providers

 

Gabi Childcare is not responsible for incidents arising from undisclosed conditions, unsafe environments, or client-directed instructions that fall outside standard childcare or household support expectations.

 

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any action or proceeding arising under this Agreement shall be brought in the courts located in New York County, New York, unless otherwise required by law.

 

By executing this Agreement, the client confirms that all information provided is true and accurate and acknowledges that they have reviewed and agree to Gabi Childcare’s rates, fees, payment terms, and service policies as outlined in the intake form. This Agreement is binding upon execution.
